Terms of Service

1. Acceptance and Eligibility
By accessing or using GovEtract (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.
You represent that: (a) you are at least 18 years of age; (b) you have authority to bind the company or organization on whose behalf you are registering; (c) your company is legally authorized to pursue U.S. federal government contracts; and (d) your use of the Platform will comply with all applicable federal, state, and local laws.
These Terms apply to all users and any other individuals you authorize to access the Platform on behalf of your organization.
2. Platform Description
GovEtract is an AI-powered government contracting platform designed for medical supply companies. The Platform provides:
- Company compliance tracking and SAM.gov readiness guidance
- Product catalog management with government code suggestions (FSC, PSC, NAICS, NSN)
- SAM.gov opportunity discovery and AI-powered relevance scoring
- AI-assisted proposal drafting, compliance checking, and RFP analysis
- Contract performance tracking and CPARS record management
- Purchase order fulfillment tracking and delivery risk monitoring
- An AI assistant for contracting guidance
The Platform may use live SAM.gov data when available, or sample data in development and preview environments.
3. Account Registration and Security
To access the Platform, you must register with a valid email address and create a password. You agree to:
- Provide accurate and complete registration information
- Keep your account credentials confidential and not share them with others
- Notify us immediately at security@govetract.com of any unauthorized access to your account
- Be responsible for all activity that occurs under your account, whether authorized by you or not
We are not liable for any loss or damage arising from your failure to protect your credentials.
4. Subscription and Payment Terms
4.1 Subscription Plans
GovEtract may offer paid plans, pilot access, or custom commercial terms. If you purchase paid access, plan features, pricing, billing cadence, and renewal terms will be presented in the applicable checkout flow, order form, or other pricing materials we provide to you. We may update pricing prospectively with notice where required.
4.2 Billing and Payment
If you are on a paid plan, fees are billed in advance according to the billing cadence you selected. You authorize us to charge your designated payment method at each renewal unless you cancel before the renewal date or as otherwise stated in your commercial terms.
4.3 Taxes
All fees are exclusive of applicable taxes. You are responsible for all sales, use, VAT, or similar taxes imposed by any taxing authority on fees paid to GovEtract.
4.4 Late Payment
If payment for a paid plan is not received when due, we may suspend or limit access to paid features after providing notice where reasonably practicable. Access may be restored after outstanding amounts are resolved.
5. Free Trial
We may offer free access, pilot programs, or time-limited trials for some accounts. Access scope, duration, and any conversion to paid service will be described in the relevant offer. We may modify or discontinue such offers at any time.
6. User Responsibilities
You are solely responsible for:
- Verifying the accuracy of all company registration data (EIN, UEI, CAGE code) entered into the Platform
- Ensuring that your SAM.gov registration is current and compliant with applicable regulations
- Reviewing, editing, and approving all AI-generated content (proposals, compliance summaries, code suggestions) before use in any official government submission
- Verifying that all product specifications, pricing, and regulatory compliance data (FDA clearance, ISO certifications) in your catalog are accurate
- Maintaining compliance with all applicable federal acquisition regulations (FAR), agency supplements (DFARS, HHSAR, etc.), and small business program requirements
- Ensuring that any personnel you permit to use the Platform on your behalf are authorized to view and work with the data contained in it
7. Acceptable Use
You must use the Platform in accordance with our Acceptable Use Policy. Key prohibitions include:
- Submitting false or fraudulent company registration data, certifications, or proposal content to any government agency
- Using the Platform to bid on contracts for which your company is not eligible or qualified
- Attempting to access, alter, or delete another user's account or company data without authorization
- Reverse engineering, decompiling, or disassembling any part of the Platform
- Using the Platform to transmit malware, viruses, or other harmful code
- Reselling, sublicensing, or otherwise making the Platform available to third parties without our written consent
- Using automated tools (bots, scrapers, crawlers) to access or extract Platform content outside of documented APIs
8. AI-Generated Content Disclaimer
GovEtract uses artificial intelligence (Claude by Anthropic, and optionally OpenAI) to generate proposal drafts, compliance summaries, opportunity recommendations, government code suggestions, and other platform content. You acknowledge and agree that:
- AI-generated content is a drafting aid only and does not constitute legal advice, professional compliance guidance, or a guarantee of contract award.
- AI outputs may contain errors, omissions, hallucinations, or outdated information. GovEtract makes no warranty regarding the accuracy or completeness of AI-generated content.
- You must review and approve all AI-generated content before using it in any government submission, proposal, or official communication. Failure to do so is entirely at your own risk.
- GovEtract is not liable for any penalties, disqualifications, or contract losses resulting from your use of unreviewed AI-generated content.
- AI models may change over time. We do not guarantee the consistency or quality of AI-generated outputs across different time periods.
9. Government Contracting Compliance
The Platform is designed to assist with, but not replace, professional compliance judgment. You acknowledge that:
- Federal acquisition regulations (FAR, DFARS, HHSAR) are complex and subject to change. GovEtract does not guarantee that any compliance checklist, recommendation, or proposal content reflects the current regulatory requirements applicable to your specific procurement.
- NAICS codes, FSC codes, PSC codes, and set-aside eligibility determinations made by the Platform are AI-assisted suggestions. You must verify all codes and eligibility determinations with qualified personnel before submission.
- GovEtract is not a law firm and does not provide legal advice. For legal questions regarding federal contracting, consult a qualified government contracts attorney.
10. Intellectual Property
10.1 GovEtract IP
The Platform, including its design, source code, AI models, workflow logic, user interface, and all associated intellectual property, is owned by or licensed to GovEtract and protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works based on any part of the Platform without our written consent.
10.2 Your Data
Your company data, proposal content, product catalog, and other information you enter into the Platform remain your property. By using the Platform, you grant GovEtract a limited, non-exclusive license to process your data solely to provide the services described in these Terms.
10.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant GovEtract an irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
11. Confidentiality
Each party agrees to keep confidential any non-public information received from the other party in connection with the Platform ("Confidential Information"). You agree not to disclose GovEtract's proprietary technology, pricing, or business information to competitors or third parties. We agree to protect your company contracting data and business information as described in our Privacy Policy.
12. Service Availability
12.1 Availability and Maintenance
We work to keep the Platform available and to schedule maintenance during lower-traffic periods when practicable. Availability may be affected by platform updates, third-party dependencies, or operational issues outside our direct control.
12.2 No Warranty of Availability
We do not guarantee uninterrupted access to the Platform. We are not liable for downtime caused by third-party infrastructure (cloud providers, AI providers, SAM.gov API), force majeure events, or circumstances outside our reasonable control.
12.3 Modifications
We may modify, update, or discontinue features of the Platform at any time. For material changes that remove functionality you rely on, we will provide at least 30 days' notice where practicable.
13. Suspension and Termination
13.1 Termination by You
If you are on a paid plan, you may cancel renewal at any time through any billing interface we make available or by contacting support@govetract.com. Cancellation generally takes effect at the end of the current paid term unless your applicable checkout or order form states otherwise. See our Refund Policy for information on refund eligibility.
13.2 Termination by GovEtract
We may suspend or terminate your account immediately if you: (a) violate these Terms or our Acceptable Use Policy; (b) fail to pay fees when due after notice; (c) use the Platform for fraudulent or illegal purposes; or (d) engage in conduct that is harmful to other users or to GovEtract.
13.3 Effect of Termination
Upon termination, your access to the Platform will cease. You may request an export of your data within 30 days of termination. After 30 days, we may delete your company data in accordance with our Privacy Policy.
14. Warranties and Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOVETRACT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY GOVERNMENT SUBMISSION; OR (D) ANY DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOVETRACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST CONTRACT OPPORTUNITIES, LOST DATA, GOVERNMENT PENALTIES OR DEBARMENT, BUSINESS INTERRUPTION, OR PROCUREMENT FAILURES, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE PLATFORM OR THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO GOVETRACT IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
16. Indemnification
You agree to indemnify, defend, and hold harmless GovEtract, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) any government submission you make using Platform content; (d) your violation of any applicable law or regulation; or (e) any infringement of third-party rights caused by your use of the Platform.
17. Dispute Resolution
17.1 Informal Resolution
Before initiating any formal dispute, you agree to contact us at legal@govetract.com to attempt to resolve the dispute informally. We will have 30 days to respond and attempt resolution.
17.2 Binding Arbitration
If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.
17.3 Class Action Waiver
YOU AND GOVETRACT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.
18. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the federal and state courts located in Delaware.
19. Force Majeure
GovEtract shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, internet or power outages, third-party service disruptions (including SAM.gov downtime, cloud provider outages, or AI provider failures), or other force majeure events. We will notify you promptly of any such event and resume performance as soon as reasonably practicable.
20. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and GovEtract regarding the Platform.
- Severability: If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign these Terms or your account to any third party without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of our business.
- Notices: We may send notices to you by email to the address associated with your account. Notices to GovEtract must be sent to legal@govetract.com.
21. Changes to These Terms
We may modify these Terms at any time. For material changes, we will provide at least 14 days' advance notice via email or in-platform notification. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and cancel any paid service before the effective date.
